Service Agreement

These Terms govern your use of OMEGA QMS Pvt. Ltd. ("OMEGA QMS", "we", "us") websites, certification consultancy services, and testing equipment solutions. By using our website or engaging our services, you agree to these Terms. Last updated: December 2024.

Certification Services & Consultancy

  • BIS certification, ISI Mark, CRS, and regulatory compliance services are provided based on current government regulations and guidelines.
  • Service timelines are estimates based on typical processing times and may vary due to regulatory authority decisions.
  • Consultancy fees are separate from government fees, testing charges, and third-party audit costs unless explicitly included.
  • Success of certification applications depends on meeting all regulatory requirements and is not guaranteed by consultancy services.
  • We provide documentation support, liaison services, and technical guidance throughout the certification process.

Testing Equipment & Pricing

  • Equipment quotes are valid for 30 days unless otherwise stated and exclude GST, duties, freight, and installation unless specified.
  • Orders are confirmed upon acceptance by OMEGA QMS and receipt of agreed advance payments.
  • Prices may change due to changes in specifications, regulatory requirements, or raw material costs prior to order confirmation.
  • Custom testing equipment development requires detailed specifications and may involve additional design and development charges.
  • All equipment is manufactured to relevant IS/ISO/ASTM standards as specified in the order.

Delivery, Installation & Calibration

  • Delivery timelines for testing equipment are estimates based on manufacturing schedules and typically range from 4-12 weeks.
  • Risk passes upon dispatch from our facility; ownership transfers upon full payment unless otherwise agreed.
  • Installation, commissioning, and operator training are provided as per the agreed scope of supply.
  • NABL-traceable calibration certificates are provided where applicable and specified in the order.
  • Site readiness including utilities and civil work is the customer's responsibility unless contracted separately.

Payment Terms

For certification services: 50% advance upon engagement, balance before final document submission. For testing equipment: typically 30% advance with order, 60% before dispatch, 10% after successful installation and commissioning. Late payments attract interest at 18% per annum and may result in suspension of services or cancellation of orders.

Warranty & Service Support

  • Testing equipment carries a 12-month warranty against manufacturing defects from the date of commissioning or 18 months from dispatch, whichever is earlier.
  • Warranty excludes consumables, misuse, unauthorized modifications, improper maintenance, and normal wear and tear.
  • Annual Maintenance Contracts (AMC) and Calibration Management Contracts (CMC) are available post-warranty.
  • Spare parts support is provided for a minimum of 7 years from the date of supply.
  • Remote technical support is available during Indian business hours; on-site support is chargeable unless covered under AMC.

Technical Support & Training

OMEGA QMS provides comprehensive operator training during equipment commissioning, technical documentation including SOPs and maintenance guides, and ongoing support for BIS compliance and testing procedures. We offer specialized training programs for laboratory personnel and quality control staff at additional cost.

Customer Responsibilities

  • Provide accurate product specifications, testing standards, and compliance requirements.
  • Ensure adequate utilities (3-phase power, compressed air at 6-8 bar, water supply) as per equipment specifications.
  • Maintain controlled environmental conditions (temperature 27±2°C, humidity 65±5% RH) where required.
  • For certification services: provide complete and accurate documentation, test samples, and facility access for audits.
  • Designate qualified personnel for equipment operation and follow provided SOPs and safety guidelines.
  • Obtain and maintain necessary regulatory approvals; our consultancy facilitates but does not guarantee approval.

Limitation of Liability

OMEGA QMS's liability is limited to direct damages only and shall not exceed the value of the specific service or equipment order. We are not liable for indirect, consequential, or punitive damages including but not limited to loss of profits, production delays, certification rejections, regulatory penalties, or business interruption. Force majeure events release both parties from performance obligations.

Intellectual Property & Confidentiality

  • All testing methodologies, equipment designs, software, calibration procedures, and technical know-how remain OMEGA QMS's intellectual property.
  • Client product information, test data, formulations, and business information are kept strictly confidential.
  • We execute Non-Disclosure Agreements (NDAs) where required for sensitive projects.
  • Test reports and calibration certificates may be shared with regulatory authorities only with client consent.

Compliance & Standards

OMEGA QMS operates in compliance with ISO 9001:2015 quality management standards. Our testing equipment meets relevant BIS, ISO, ASTM, and other international standards. We maintain updated knowledge of regulatory changes and inform clients of relevant updates affecting their certification or testing requirements.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, fuel, energy, labor or materials.

Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good faith negotiations. If unresolved within 30 days, disputes shall be settled through arbitration in New Delhi under the Arbitration and Conciliation Act, 2015. The arbitration shall be conducted in English. Courts at New Delhi shall have exclusive jurisdiction over any matters not subject to arbitration.

Termination

Either party may terminate services with 30 days written notice. Upon termination, all outstanding payments become immediately due. OMEGA QMS will return client-confidential materials and provide reasonable transition assistance. Termination does not affect accrued rights or obligations of either party.

Amendments to Terms

We reserve the right to modify these terms to reflect changes in regulations, technology, or business practices. Material changes will be notified via email or website announcement. Continued use of services after notification constitutes acceptance of modified terms.

Severability

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that comes closest to the intent of the original.

Entire Agreement

These Terms, together with any purchase orders, service agreements, or project-specific contracts, constitute the entire agreement between you and OMEGA QMS regarding our services and supersede all prior agreements, understandings, and communications.
